Terms of Service

The terms governing your use of this website and the scope of our quality control, factory audit, and sourcing services.

Effective date: August 26, 2026  ·  Last updated: September 2, 2026

1. Acceptance of Terms

By accessing or using www.fulites.com (the "Website"), or by submitting an inquiry, requesting a quotation, or engaging FULITES Limited Company ("FULITES", "we", "us") for services, you agree to these Terms of Service. If you do not agree, please do not use the Website or our services.

2. Use of This Website

Content on this Website — including service descriptions, industry pages, quotation guidance, FAQ answers, and blog articles — is provided for general informational purposes only and does not constitute a binding offer or contract. You agree to use the Website only for lawful purposes and not to submit false, misleading, or malicious information through our forms.

3. Quotations & Service Agreements

Any quotation, service confirmation, or order form issued directly to you by FULITES after you submit an inquiry takes precedence over the general information published on this Website. Where the two conflict, the terms of your specific quotation or signed service agreement control.

4. Written Quotations

The Website may publish an indicative and non-binding standard inspection rate, including “From USD 249 per man-day,” and a first-inspection trial rate of USD 220 per man-day for eligible first-time buyers in Ho Chi Minh City, Binh Duong and Dong Nai. These rates apply only to qualifying scopes and exclude items not confirmed in writing. The final fee, currency, inclusions, exclusions, travel costs and payment terms are confirmed in a written quotation after FULITES reviews the product, factory location, scope, number of personnel-days and timing.

5. Payment, Taxes & Expenses

Payment terms, currency, due date, and included expenses are stated in the written quotation. Unless stated otherwise, bank charges, applicable taxes, urgent-booking costs, and travel outside the quoted service area are borne by the client. A booking is not confirmed until FULITES issues written confirmation and any required advance payment has cleared.

6. Scheduling, Changes & Site Access

The client must provide accurate factory contacts, address, working hours, product readiness, specifications, and permission for access and photography. Rescheduling or cancellation within 24 hours of the confirmed visit may incur costs already committed. If the factory denies access, the goods are not ready, required documents are unavailable, or waiting time materially exceeds the agreed scope, FULITES may issue a partial report and charge the booked man-day, travel, or a rescheduling fee.

Internal service timelines

For an approved inspection scope, FULITES commits to deliver the inspection report within 24 hours after the onsite inspection is completed, provided the buyer's required specifications and data are complete and factory access has been provided. If a scope change, missing information, access issue or force-majeure event prevents delivery within that period, FULITES will notify the buyer and confirm a revised timeline in writing.

FULITES also commits to respond to a complete, valid customer inquiry within 24 business hours, measured during Vietnam business days from receipt. Invalid, abusive or spam submissions are excluded. These timelines are internal operational service commitments, reviewed on 01 September 2026, and have not been independently audited.

7. Client Responsibilities & Report Queries

The client is responsible for supplying current specifications, approved samples, checklists, purchase-order details, and any mandatory legal or testing requirements before the service. Report questions or suspected factual errors should be sent to info@fulites.com within five business days of delivery, with supporting evidence. A reinspection after supplier rework or a change in goods is a new service unless FULITES confirms that reinspection is required solely because of a material error by FULITES.

8. Scope & Limitations of Inspection Reports

Our inspection reports (including Pre-Production, During-Production, Pre-Shipment, and Container Loading Supervision reports) are based on a sample drawn from the inspected lot using an agreed AQL sampling plan, and on conditions observed on the day of inspection. A report reflects the condition of the sample and observations made at that time — it is not, and cannot be, a guarantee that every unit in the full shipment is free of defects. FULITES exercises professional care in conducting inspections but does not warrant the ongoing performance, durability, or regulatory compliance of the inspected goods beyond what is stated in the report.

9. Shipping & Acceptance Decisions

FULITES provides inspection findings and a Pass/Fail recommendation to support your decision-making. The final decision to accept, reject, rework, or ship any goods rests solely with you, the client. FULITES is not a party to, and assumes no liability arising from, the commercial contract between you and your supplier.

10. Factory Audits

A FULITES Factory Audit (Supplier Evaluation Audit, Manufacturing Capability Assessment, or Social Compliance Readiness Check) is an independent assessment of what our auditor observed at the time of the visit. It does not constitute, and should not be represented as, a legal certification, a formal social-compliance certificate (e.g. BSCI, SMETA, WRAP), or any other third-party accreditation. Clients requiring a formal certification should engage an accredited certification body for that specific standard.

11. Sourcing, Suppliers & Conflicts

FULITES supports the buyer's evaluation and coordination process but does not guarantee a supplier's solvency, future performance, legal compliance, price, capacity, or product outcome. The client makes the final supplier-selection, contracting, payment, and purchase decisions. FULITES will disclose any material relationship or financial interest known to us that could reasonably affect our independence and will not accept an undisclosed supplier commission in connection with a buyer-side engagement.

12. Confidentiality & Intellectual Property

Each party will use reasonable care to protect non-public commercial information received for an engagement and use it only to perform or receive the service, except where disclosure is required by law or authorized in writing. The FULITES name, logo, Website design, and Website content remain the property of FULITES or its licensors. Reports are licensed for the client's internal business use and may be shared with relevant suppliers, advisers, insurers, or buyers for that engagement, but may not be resold, publicly republished, altered, or represented as a general certification without written consent.

13. Force Majeure

Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disaster, epidemic, government restriction, labor disruption, transport interruption, factory closure, telecommunications failure, or civil disturbance. The affected party will notify the other party when practicable, and the parties will reasonably reschedule or adjust the scope. Fees for work already performed and non-recoverable committed costs remain payable.

14. Limitation of Liability

To the fullest extent permitted by law, FULITES's aggregate liability arising from a specific engagement shall not exceed the fees paid for that engagement. FULITES is not liable for indirect, incidental, special, or consequential loss, including lost profit or opportunity, caused by reliance on a report or by a supplier's acts or omissions. These limitations do not exclude liability that cannot legally be excluded, or liability arising from FULITES's fraud or willful misconduct.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of Vietnam. A dispute not resolved through good-faith negotiation will be submitted to the competent courts in Ho Chi Minh City, Vietnam. A specific signed service agreement may instead require arbitration or another agreed forum, in which case that agreement controls.

16. Changes to These Terms

We may revise these Terms from time to time. The "Last updated" date at the top of this page shows the most recent revision. Continued use of the Website after changes are posted constitutes acceptance of the revised Terms.
